These Terms of Use (“Terms”) govern access to and use of the websites and online services operated by Yellow Theme (“Yellow Theme,” “we,” “us,” or “our”), including:

The Service

Yellow Theme provides fixed-fee security and compliance engineering services and related online tools (marketing site, intake, e-sign, and an invitation-only client portal). We are an independent engineering practice — not your auditor or CPA.

Accounts and portal access

The client portal is invitation only. There is no public signup. You must use the email address in your invitation. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorized use.

Intellectual property

The Service, including site design, text, graphics, and software (excluding client materials you upload), is owned by Yellow Theme or its licensors. Client deliverables and ownership of work product are governed by the signed agreement and SOW.

Payments

Fees, deposits, invoices, and refunds for professional services are set in the applicable SOW or invoice. Online payment links may be provided through third-party processors.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, YELLOW THEME DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YELLOW THEME AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE PUBLIC SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM. Engagement liability caps in a signed SOW or MSA control for contracted work.

Indemnity

You will defend and indemnify Yellow Theme against claims arising from your misuse of the Service or your violation of these Terms, except to the extent caused by our willful misconduct.

Termination

We may suspend or terminate access to the Service for violation of these Terms or for security or operational reasons. Provisions that by nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Exclusive venue for disputes arising from these Terms lies in the state or federal courts located in Texas, unless a signed agreement specifies otherwise.

Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes constitutes acceptance of the revised Terms.
